Terms and Conditions for Vendor Collaboration on Payuee e-Shop
Overview and Acceptance
These Terms and Conditions ("Terms") govern the collaborative relationship between vendors ("Vendors" or "you") on Payuee e-Shop ("Platform" or "Service"). By participating as a vendor on this platform, whether listing or reposting products, you agree to comply with these Terms, which form a legally binding agreement between you and Payuee. If you do not agree to these Terms, please refrain from using the Platform.
Eligibility and Vendor Registration
To participate as a Vendor, you must be a registered business entity or an individual of at least 18 years of age. Vendors are required to complete registration, provide accurate information, and ensure all submitted details are up-to-date. Payuee reserves the right to suspend or terminate any Vendor account in case of incomplete or misleading information.
Collaboration Structure and Responsibilities
Vendors may choose to list products originally or repost existing products from other vendors. Responsibilities include but are not limited to:
- Providing accurate descriptions, images, and pricing for all products listed or reposted.
- Ensuring compliance with all applicable laws, regulations, and Payuee guidelines for product sales and advertising.
- Updating any product details immediately upon any changes (e.g., price adjustments, availability, etc.).
Revenue Sharing and Payment Terms
Payuee will facilitate payments for products sold on the Platform, including original and reposted items. The following terms apply:
- Revenue for reposted products will be shared between the original and reposting vendors according to the applicable revenue-sharing percentage specified by Payuee. Payuee may change the revenue-sharing model with prior notice.
- Vendors are responsible for all applicable fees, taxes, and deductions as stipulated by Payuee.
- Vendors may withdraw their earnings at any time after the successful completion of sales, provided there are no disputes associated with the transactions. Payments will be made available in the vendor's account for withdrawal following the finalization of each sale.
Intellectual Property and Content Usage
By listing or reposting products, Vendors grant Payuee a non-exclusive, worldwide, royalty-free license to use, modify, and distribute product images and descriptions in connection with the Platform. Vendors are responsible for ensuring they have the right to grant this license for any content they upload.
Prohibited Activities
Vendors agree not to engage in any activities that could harm Payuee or other vendors, including but not limited to:
- Posting false or misleading information about products or transactions.
- Attempting to circumvent Payuee’s revenue-sharing or payment structure.
- Engaging in any form of unauthorized communication with buyers outside of Payuee.
Dispute Resolution and Order Management
Payuee reserves the right to resolve disputes between vendors or between vendors and buyers in its sole discretion. Vendors agree to comply with Payuee’s dispute resolution procedures, including, if applicable:
- Providing requested information regarding any disputed transactions.
- Honoring refund or exchange requests that comply with Payuee’s platform policies.
Termination and Account Suspension
Payuee reserves the right to suspend or terminate any vendor account for violations of these Terms or for any activity deemed detrimental to the platform. Suspended or terminated vendors forfeit any remaining funds in their account pending a thorough review.
Limitation of Liability
To the extent permitted by law, Payuee will not be liable for any indirect, incidental, or consequential damages arising from vendor collaboration on the platform, including lost profits, revenue, or data. Payuee’s liability shall be limited to the amount earned by the vendor in the last Transaction.
Modifications and Updates
Payuee reserves the right to modify these Terms at any time, with prior notification. Continued participation on the platform after modifications signify acceptance of the revised Terms.
Governing Law and Jurisdiction
These Terms are governed by and construed under the laws of Nigeria. Any disputes shall be resolved in the Federal Court of Nigeria, with the parties agreeing to submit to exclusive jurisdiction.
